End User License Agreement

Last updated: September 15, 2026

This End User License Agreement ("Agreement" or "EULA") forms a legally binding agreement between you and Larkiro ("we", "us", or "our"). It governs: (a) your download, installation, and use of the Larkiro desktop application ("the Software"); (b) your use of the Larkiro cloud generation service ("the Cloud Service"); (c) your use of this website ("the Website"); and (d) your purchase and use of credit packs.

Larkiro is a desktop application that connects to a cloud-powered AI generation service. The Software is installed locally on your device; music generation, lyrics creation, and voice cloning are processed through our Cloud Service (hosted on Cloudflare) using third-party AI engines. You do not need to provide or manage any API keys.

By downloading, installing, or using the Software, Cloud Service, or Website, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not download, install, or use them.

1. Software License

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices you own or control.

  • Free Download. The Software is free to download and install. There is no upfront license fee and no subscription.
  • Free Tier. Accounts that have not purchased credits receive five (5) free lyric generations. This free allowance is granted once per account and is not replenished after you make a purchase.
  • Credit-Based Usage. Music generation, AI covers, voice cloning, album creation, and batch generation consume credits. Once you have purchased credits, lyrics are also charged per use. Credits are purchased separately in packs (see Section 2).
  • Ownership. We own and retain all right, title, and interest in and to the Software, including all copyrights, patents, trademarks, trade secrets, algorithms, user interface designs, and all other intellectual property rights. This Agreement does not transfer any ownership right to you.

1.1 License Restrictions

You may not, and may not permit any third party to:

  • Copy (except for a single backup copy), modify, adapt, translate, or create derivative works of the Software.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or algorithms of the Software, except to the extent expressly permitted by applicable law.
  • Redistribute, rent, lease, lend, sell, resell, sublicense, or otherwise transfer the Software to any third party.
  • Circumvent, disable, bypass, or interfere with any credit system, authentication mechanism, or digital rights management in the Software or Cloud Service.
  • Use the Software or Cloud Service to build or compete with a competing product or service.
  • Access the Cloud Service through automated systems, bots, scrapers, or APIs other than through the Software.

2. Credits, Purchases & Refunds

  • Credit System. Larkiro uses a credit-based billing system. A complete song costs 42 credits in High Quality mode (40 for music generation + 2 for lyrics) or 12 credits in Economy mode (10 for music generation + 2 for lyrics). High Quality is the default. No expiry under current policy.
  • Credit Packs. Credits are sold in packs: Trial ($3.99 / 120 credits), Standard ($9.99 / 600 credits), Creator ($29.99 / 2,500 credits), Studio ($59.99 / 6,000 credits). Prices may change; the price shown at checkout in the Software is the price that applies to your order.
  • Free Tier. New accounts receive five (5) free lyric generations before any purchase. No credit card is required. After your first credit purchase, the free allowance no longer applies and lyrics are charged at 2 credits each.
  • Merchant of Record. All payments are processed by Lemon Squeezy (Terms). Your purchase is also subject to Lemon Squeezy's terms, including handling of applicable taxes, VAT, GST, and duties. We do not directly collect or store your payment card details.
  • Refund Policy. We offer a fourteen (14) calendar day, no-questions-asked refund on completely unused credit packs (see our Refund Policy). If any credits have been consumed, the pack is not eligible for refund. Contact us at [email protected] or reply to your order confirmation email.
    Note for EU / UK Consumers: This 14-day window satisfies your right of withdrawal under the EU Consumer Rights Directive (2011/83/EU).
  • Chargebacks & Fraud. We reserve the right to immediately revoke credits and suspend accounts associated with chargebacks, payment reversals, or fraudulent transactions, without refund and without prior notice.

3. Cloud Generation Service

  • Service Description. The Cloud Service processes your generation requests through third-party AI engines. We operate a multi-engine topology for resilience: a primary music engine (currently Mureka), a secondary music engine (currently Replicate, hosting models from MiniMax and Google), a dormant fallback music engine (Google Lyria), and separate engines for lyrics and in-app text assistance (currently Google Gemini, with DeepSeek as fallback). The Cloud Service handles authentication, credit deduction, request routing, and temporary storage of generated audio. The specific engines in use may change over time; the current list is set out in Section 4 of our Privacy Policy.
  • No API Keys Required. Unlike previous versions, you do not need to obtain, manage, or pay for third-party AI provider API keys. The Cloud Service manages all provider interactions and bears the upstream costs.
  • Service Availability. The Cloud Service is provided on an "as available" basis. While we strive for high availability, we do not guarantee uninterrupted service. Maintenance, provider outages, or force majeure events may temporarily affect availability.
  • Provider Terms. Generated content is subject to the terms of service of the AI engine(s) that produced it. Because requests may be routed across multiple engines, your ownership and usage rights to generated output may vary depending on which engine served a given request. We recommend reviewing the applicable provider terms before commercial distribution.
  • Data Flow. Your prompts, style parameters, voice samples, and reference tracks are transmitted to the Cloud Service and routed to an AI engine. Generated audio is temporarily stored in cloud storage until downloaded by your desktop app, then automatically deleted (see our Privacy Policy for retention periods and the full list of third parties).

4. User Obligations & Acceptable Use

You agree that you will not use the Software, Cloud Service, or Website to:

  • Generate, create, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, hateful, or otherwise objectionable.
  • Generate or distribute content that infringes any third party's intellectual property rights (copyright, trademark, patent, trade secret, moral rights, publicity rights, or privacy rights).
  • Generate deepfakes, non-consensual explicit content, synthetic voices that impersonate a real individual without consent, or content that could be used for fraud or deception.
  • Violate any applicable export control, economic sanctions, or national security laws.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Cloud Service, servers, or systems.
  • Circumvent credit limits, create multiple accounts to abuse free credits, or engage in any form of credit fraud.

We reserve the right to investigate suspected violations and to suspend accounts or revoke credits where we reasonably believe a violation has occurred.

5. Generated Content, Output & Copyright

  • Ownership of your input. You retain all ownership rights in and to any prompts, text, audio recordings, voice profiles, reference tracks, and other creative input you provide ("Your Input").
  • Output ownership. To the fullest extent permitted by applicable law and subject to the terms of the AI engine(s) that produced the output, we assign to you all of our right, title, and interest (if any) in and to the generated content ("Generated Output"). Larkiro claims no ownership, royalty, or revenue share in your Generated Output.
  • Provider terms apply. Your ownership and usage rights to Generated Output may be affected by the terms of the AI engine(s) used. Some providers assert rights over outputs, impose attribution requirements, restrict commercial use, or require indemnification. Because the Cloud Service may route a request to any of several engines (see Section 3), it is your responsibility to review and comply with the applicable provider terms.
  • Compliance & disclosure. You are responsible for ensuring your use of Generated Output complies with all applicable laws, including: (a) AI-generated-content disclosure requirements (e.g., EU AI Act, China's Generative AI Regulations); (b) copyright and related rights; (c) defamation, privacy, and publicity laws; and (d) platform or distribution policies. Larkiro embeds metadata markers indicating AI origin in output files.
  • Commercial use. Subject to this Section 5, Section 4 (Acceptable Use), and the terms of the applicable AI engine provider, commercial use of Generated Output is permitted.

6. Updates

  • We may make available bug fixes, patches, enhancements, feature updates, and new versions of the Software ("Updates").
  • The Software may automatically check for Updates and download and install them. You may disable automatic update checking in settings.
  • We do not guarantee that Updates will be made available, or that we will continue to support, maintain, or develop the Software indefinitely. We may discontinue or change any aspect of the Software or Cloud Service at any time.

7. Disclaimer of Warranties

THE SOFTWARE AND CLOUD SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we make no warranty that:

  • The Software or Cloud Service will meet your requirements, operate uninterrupted, or be error-free.
  • Generated Output will be original, accurate, non-infringing, or suitable for any particular use.
  • The Cloud Service will be compatible with any particular hardware or network configuration.

EU / UK Consumers: Nothing in this Agreement excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE OR CLOUD SERVICE.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID FOR CREDIT PACKS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

9. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Larkiro and its directors, officers, employees, agents, and suppliers from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your Input, Generated Output, or any content you create or distribute using the Software;
  • Your violation of this Agreement, including Section 4 (Acceptable Use) and Section 1.1 (License Restrictions);
  • Your violation of any applicable law, including export-control or sanctions laws;
  • Your use of or reliance on the AI music engine or any third-party service;
  • Any allegation that Your Input or Generated Output infringes any third-party right.

11. Export Control & Economic Sanctions

The Software and Cloud Service are subject to U.S. export control and economic sanctions laws. You represent and warrant that you are not located in, or a national of, any country subject to comprehensive U.S. sanctions, and that you will not use the Software for any prohibited purpose.

14.2 Arbitration (Non-European Customers)

Disputes not resolved informally shall be settled by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Seat: New Castle County, Delaware, USA. Class action waiver applies.

15. General Provisions

  • Force Majeure. Neither party is liable for delays caused by events beyond reasonable control, including acts of God, war, pandemic, network failures, or third-party AI provider outages.
  • Severability. If any provision is held invalid, the remaining provisions continue in effect.
